Terms of Service

Agreement

These Terms of Service ("Terms") govern access to Agreemium's website and software (the "Service") provided by Agreemium, Inc. By creating a workspace or using the Service, you agree to these Terms on behalf of yourself or the organization you represent.

The Service

Agreemium is contract renewal and vendor management software. You upload or forward vendor contract PDFs; AI suggests extracted terms; you review and file records; the platform tracks renewals, notice deadlines, and spend. Agreemium is not a law firm and does not provide legal advice.

Accounts and workspaces

You are responsible for credentials, seat assignments, and activity under your workspace. Admins control billing, roles, and security settings. Notify us promptly of unauthorized access at support@agreemium.com.

Your content

You retain ownership of contracts and data you upload. You grant Agreemium a limited license to host, process, display, and back up that content solely to provide and improve the Service. You represent that you have the right to upload the content you provide.

Acceptable use

You may not misuse the Service, attempt unauthorized access, interfere with other customers, upload malware, or use the Service in violation of applicable law. We may suspend access for material violations.

Subscriptions and billing

Paid plans renew automatically until canceled through the Stripe Customer Portal or as otherwise described at pricing. Fees are non-refundable except where required by law or stated in writing. We may change prices with reasonable notice to active subscribers.

Free tier

The free tier is offered at our discretion with usage limits described on the pricing page. We may modify free-tier limits with notice.

Availability and support

We strive for high availability but do not guarantee uninterrupted operation. Support is provided via email during business hours unless a separate Enterprise SLA applies.

Disclaimer

THE SERVICE IS PROVIDED "AS IS" TO THE MAXIMUM EXTENT PERMITTED BY LAW. AGREEMIUM DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EXTRACTED CONTRACT FIELDS REQUIRE HUMAN REVIEW — DO NOT RELY ON THE SERVICE AS THE SOLE BASIS FOR LEGAL OR FINANCIAL DECISIONS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGREEMIUM'S TOTAL LIABILITY ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE FEES YOU PAID IN THE TWELVE MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Termination

You may stop using the Service at any time. We may terminate or suspend access for breach of these Terms or non-payment. Upon termination, your right to use the Service ends; export requests should be made before closure where possible.

Governing law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, unless otherwise required by applicable law.

Changes

We may update these Terms. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance.
